Article of Association

PT Pelindo Terminal Petikemas, hereinafter referred to as “SPTP” or the “Company,” is a corporate entity established to support the professional and sustainable management and development of container terminal services in Indonesia. As a key player in the national port and logistics ecosystem, SPTP plays a strategic role in enhancing the efficiency, reliability, and competitiveness of container terminal operations.

SPTP is also recognized as a subholding company of the State-Owned Enterprise (SOE), PT Pelabuhan Indonesia (Persero), widely known as Pelindo, which is the primary national port operator in Indonesia. In its capacity as a subholding, SPTP serves as an important business pillar responsible for strengthening and integrating container terminal services within the Pelindo Group, supporting national logistics connectivity and contributing to Indonesia’s maritime development.

The Company was officially incorporated under Deed of Establishment No. 36 dated 10 April 2013, which serves as the legal basis for the formation of PT Pelindo Terminal Petikemas as a limited liability company. Throughout its development, the Company has continuously undertaken adjustments and updates to its Articles of Association to ensure that its organizational structure and corporate governance remain aligned with business dynamics, operational requirements, and prevailing regulations.

As part of this ongoing process, the Company’s Articles of Association have undergone several amendments, with the most recent amendment recorded under Deed No. 18 dated 11 October 2021, executed before Nanda Fauz Iwan, S.H., M.KN., a duly authorized notary. This amendment was carried out as a strategic step to strengthen the Company’s legal foundation, enhance governance effectiveness, and reaffirm the Company’s direction for future business development.

All amendments to the Company’s Articles of Association have been officially approved by the Government of the Republic of Indonesia through the Decree of the Minister of Law and Human Rights of the Republic of Indonesia No. AHU-0056434.AH.01.02.YEAR 2021, dated 12 October 2021, concerning the Approval of Amendments to the Articles of Association of the Limited Liability Company. This approval further affirms that PT Pelindo Terminal Petikemas has fulfilled all administrative and legal requirements as a lawful and legally recognized entity.

With a strong legal foundation and its strategic position within the Pelindo Group, SPTP continues to move forward in delivering high-quality container terminal services, supporting the smooth flow of national logistics, and reinforcing its contribution as an integral part of Indonesia’s port and maritime ecosystem development.
